Lightscape Strengthens Corporate Governance Systems

Lightscape Technologies Inc. [LTSC], an operator of outdoor LED billboards and provider of LED solutions, recently strengthened its corporate governance systems with the formation of new committees of the Board of Directors, adoption of formal Corporate Governance Guidelines, and other enhancements.
The corporate governance initiatives and changes include:
-formation of a Nominating and Corporate Governance Committee consisting of independent directors and adoption of a charter;
-formation of a Compensation Committee consisting of independent directors and adoption of a charter;
-amendments to strengthen the company’s Audit Committee charter;
-affirmation by the Board of Directors of the independence of a majority of the directors, "super-independence" of each Audit Committee member, and the presence of an “audit committee financial expert”;
-expanded coverage of the company’s Code of Ethics to all directors and employees; and
-adoption of formal Corporate Governance Guidelines.
